All intellectual property rights in our pre-existing materials, tools, methodologies, and general know-how remain our exclusive property. This includes but is not limited to:

  • Development tools and utilities
  • Documentation templates
  • Training materials

4.2 Client Deliverables

Unless otherwise specified in the service agreement, upon full payment, you will receive ownership or license rights to custom deliverables as defined in the project scope. We may retain the right to use general concepts, techniques, and knowledge gained during the project.

4.3 Third-Party Components

Our deliverables may include third-party software components subject to their own license terms. We will inform you of any such components and their applicable licenses.

5. Payment Terms

  • Payment terms will be specified in individual service agreements
  • Invoices are due within 30 days unless otherwise agreed
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for overdue accounts
  • All fees are exclusive of applicable taxes unless stated otherwise

6. Confidentiality

Both parties agree to:

  • Keep confidential all non-public information received from the other party
  • Use confidential information only for purposes related to the services
  • Not disclose confidential information to third parties without prior written consent
  • Take reasonable measures to protect confidential information
  • Return or destroy confidential information upon request or termination

Confidentiality obligations survive termination of the service relationship for a period of three (3) years.

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

  • Services will be performed in a professional and workmanlike manner
  • Deliverables will substantially conform to agreed specifications
  • We have the right to provide the services

7.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

  • Our total liability shall not exceed the fees paid for the specific services giving rise to the claim
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for loss of profits, data, business opportunities, or goodwill
  • These limitations apply regardless of the form of action or theory of liability

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:

  • Your breach of these Terms
  • Your violation of any applicable law
  • Your infringement of third-party rights
  • Materials or information you provide to us

10. Term and Termination

  • These Terms remain in effect until terminated
  • Either party may terminate with 30 days written notice
  • We may terminate immediately for material breach or non-payment
  • Upon termination, all outstanding fees become immediately due
  • Provisions that by their nature should survive will remain in effect

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of government, epidemics, or internet/power outages.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

  • First, through good faith negotiation between the parties
  • If negotiation fails, through mediation in Kunming, Yunnan
  • If mediation fails, through litigation in the competent courts of Kunming

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified through our website or direct communication. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and us regarding the services and supersede all prior agreements and understandings.
